By joining the TWINO Investments team as a Head of Legal, Investment Brokerage you will be contributing with your strong legal leadership to the business’s strategy and decision-making processes. You will be providing legal opinion and guidance on an essential investment brokerage business process.   Your responsibilities:
  • Consult and lead legal processes by ensuring MIFID II compliance to make possible offering & selling the financial instruments at TWINO investment platform (for example, drafting prospectuses, final terms, key information documents, client and/or service agreements, as well as internal assisting in preparation of internal politics and procedures, assessments of legal risks and their mitigation plans and/or assessments of outsource providers as defined in accordance with Law on Financial Instruments Market etc.)
  • Participate in the development of the company’s internal regulatory and corporate documents and in the provision of legal opinions
  • To assist in structuring of complicated financing models and provide legal consultations to management board or department heads to ensure solutions which comply with all relevant Latvian and EU legal framework (including but not limited to the recommendations of the Financial and Capital Market Commission, EU regulations and directives, ESMA Guidelines etc.)
  • Ensure that company's transactions comply with corporate laws and regulations
  • Examine the legal issues related to new financial products and services, including shaping the legal practices in innovative regulatory landscape
  • Structure and review reports, contracts, and other legal documents mainly in financial, corporate, regulatory and employment law
  • Regular monitoring of applicable legal framework and prompt action in case of changes and amendments to be prepared for ensuring the company’s legal compliance
  • Provide legal advice needed for the company’s operation
  • Represent the company in its relations with national regulatory authorities and other third parties, as well as review claims of clients and provide answers
  What company is looking for:
  • Good understanding of financial law, Latvian Law on Financial Instruments Market and related FCMC’s regulations and recommendations, as well as MiFID II and related EU legal framework applicable to the operations of investment brokerage
  • Knowledge in corporate law, experience in fintech and / or M&A projects shall be considered an advantage
  • At least 7 years of working experience in a legal corporate environment, previous work experience in a financial institution or fintech company will be considered as an advantage
  • Have successful experience leading negotiations on complex, high value, contracts, and agreements
  • Have a demonstrable track-record producing effective and high-quality legal advice
  • Ability to draft and manage complex regulatory documentation
  • Have exceptionally good leadership skills
  • Attention to detail and eye for accuracy
