A family office based in Limassol is seeking to hire a Senior lawyer.
Tasks
Giving legal advice to management team and shareholders;
Representing the company in its dealings with service providers, banks, auditors and law firms in Republic of Cyprus, Belize, other;
Involved in all aspects of the firm’s Corporate and Commercial matters;
Ensuring the legality of all commercial decisions and transactions;
Advising the company on its legal rights and duties;
Serving as an in-house counsel to company’s decision makers;
Developing the company’s policy and position on legal issues;
Ensuring compliance with rules and regulations;
Carrying out research into legal issues;
Developing close working relationships with business partners;
Negotiating, drafting, reviewing of the agreements including but not limited employments agreements, lease agreements, M&A, SPA, NDA, Shareholders’ agreements, loan agreements, guarantee agreements, assignment, set off, waiters and others;
Proceeding with all legal aspects of strike off and dissolution actions of the companies;
Assisting in opening of bank accounts and correspondence with the banks;
Legal correspondence with Cyprus, Belize, Russian and legal advisors from other countries;
Cooperation with internal auditors and IFRS department on financial reports/statements and other issues;
Requirements
Legal degree (minimum LLB, LLM is preferable). Verified professional experience over 5 year (2 year minimum in Cyprus/Common law regulated counties). Fluent ENG and Russian languages.
