Major responsibilities
Drafting (with support of consultants when necessary) various corporate & transaction documents: SPA, SHA, subscription agreements, convertible loans, option plans
Legal support in fundraising (DD’s, coordination of external consultants)
Executing inter-company corporate transactions in various jurisdictions (loans, debt to equity conversion etc)
General legal clean-up and restructuring
Taking care of other corporate affairs including: employment in various locations, agreements with contractors, opening new offices, lease, data protection, intellectual property, trademarks
Supporting portfolio companies on various legal issues
70% of the work is expected to be transactional, 30% other corporate affairs
Job requirements
Education from a top university (LLM as an advantage)
Good understanding of corporate law and English law (no qualification required)
5+ years of experience as a corporate lawyer in a top ILF, RuLF, VC or PE
