Takeda is looking for a Lead Counsel.
Tasks:
Legal support to business functions and other departments of the company, including analysis of legal risks on the stages of planning and execution of projects, consultations on different legal issues, including on use of legislation on pharmaceutical activities of Russia and Eurasian Economic Union.
Organization of contractual work. Drafting of contracts and contract templates. Legal review and approval of contracts in compliance with existing procedures (including foreign trade contracts, contracts of the group of companies).
Drafting and review of various documents, including powers of attorney, replies to government authorities requests. Participation in work on claims (drafting claims, replies).
Drafting and registration of separate documents in the sphere of corporate law and registration of legal entities (amendments to charter documents, amendments to information contained in EGRUL etc.).
Legal expertise and approval of documents and activities to comply with the Russian law on advertisement and AIPM Code.
Representing interests of the company in administrative offences cases, in ordinary and arbitration courts, interactions with regulatory authorities, participation in regulatory audits.
Legal review of local acts of the company (SOPs, orders, policies, regulations etc.).
Monitoring of legislation.
Implementation of projects and development of procedures of the legal department. Participation in optimization of processes of the legal department.
Interactions with colleagues from other departments in Russia and other countries, as well as with external consultants.
Requirements:
High legal education.
Work experience as a lawyer not less than 7 years (previous experience in a pharmaceutical company is an advantage).
English, Upper Intermediate.
Good knowledge of the civil law, desirably also: labor law, corporate law, law on medicines circulation, on commercial classified information and basics of intellectual property protection, legislation on antitrust and advertising, on protection of personal data.
Desirably experience of representation in arbitration and ordinary courts, in civil and administrative offences proceedings, experience of participation in audits of governmental authorities.
Ability to work in multitasking regime, ability to solve tasks independently and within limited terms and to take decisions in compliance with existing procedures.
Mindfulness, accountability, good communication and negotiation skills.
Compliance with high ethical standards and readiness to follow principles of the company’s corporate culture.
Fluent PC user (Microsoft Office applications).
