What you'll do:
- Support of the international company in various corporate governance questions:
- Formation of legal entities and support in other registration actions in the countries of presence, including the regions of North and South America, Southeast Asia, the CIS, etc.
- Development of corporate documents as well as maintenance of records and oversight of annual report and other filings
- Legal support of transactions with shares, mergers and liquidation of legal entities
- Development of corporate policies and procedures related to corporate governance
- Risk management:
- Analysis and audit of the company corporate structure
- Identifying possible risks related to corporate governance, suggesting solutions to minimize them
- Monitoring and analysis of changes and trends in corporate legislation
- Compliance with applicable regulations
- Participation in Due Diligence in relation to the company
- Participation in the M&A projects, assisting in conducting Due Diligence in relation to third parties
- Organization of the work of the department, including building interaction with related departments, including financial and the accounting department

- Mandatory experience with corporate law in various jurisdictions of at least 6 years
- Experience with tax law will be an advantage
- English language proficiency at C1/C2 level
